Denis Osipchuk is a Principal Associate of the Real Estate and Construction practice at Capital Legal Services.
Denis has been practicing real estate law for almost 14 years. He has implemented many projects on arranging and conducting due diligence of industrial, resource mining and processing, trading and agricultural companies. He has broad experience in structuring roadmaps for acquiring and managing real estate.
Denis also specializes in advising on equity construction, providing support for transactions, as well as in drafting lease documentation and providing support for lease of non-residential premises. His clients are major Russian and foreign developers and well-known retailers.
Denis was involved in drafting Federal Law No.175-FZ “On amendments to Federal Law ‘On participation in shared construction of apartment buildings and other real estate facilities and on amendments to certain legislative acts of the Russian Federation’ and certain legislative acts of the Russian Federation” concerning the Unified Housing Construction Information System. He took part in public hearings in the State Duma and in the development of Resolution of the Russian Government “On the unified information system for housing construction.”
Before joining Capital Legal Services, Denis worked in international and Russian law firms.

Experience
- Managing legal due diligence of agricultural assets in Krasnodar Krai, Stavropol Krai, Rostov, Kursk, Lipetsk, Voronezh and Tambov regions (including black earth farming assets). The total land bank exceeds 400,000 hectares.
- Consulting a German poultry producer and its Russian partner in relation to acquisition of poultry assets in Belgorod Region (due diligence and further assets deal transaction support).
- Developing of risk-oriented legal mechanisms of control over developers and identification of problematic development projects for a state body responsible for supervision over compliance with shared construction legislation.
- Managing legal due diligence of developers and their projects (including due diligence of two major Russian development groups).
- Advising developers on application of 214-FZ provisions, and buyers in relation to the contract termination / recovery of a penalty due to the developers' delay in transfer of apartments.
- Structuring a contractual relationship between investor and developer and drafting an investment contract for construction of liquid bulk terminal for shipment of gas for a major Russian oil company.
- Structuring the assets ownership structure in Russia for large international groups in retail and rent business.
- Consulting a major Russian power generating company in relation to an accident at one of its facilities.
- Advising a client on the possibility of implementing the project "Far Eastern hectare" under the agency scheme.
- Due diligence of 800 real estate objects owned by subsidiaries of a federal grid company.
- Due diligence of 300 land plots and infrastructure assets of Russian regional airports.
- Due diligence of land plots and analysis of the legal possibility of a medical production plant / methanol plant / hotels / apartments and residential complexes / office and shopping center construction on them, subject to requirements of urban planning legislation and land plot status.
- Due diligence of industrial plants: pulp and paper plant, oil loading port, mining and processing plant, power plant, etc.
- Due diligence of forest land plots for a major wood processing company.
- Due diligence of holders of gas and oil mining licenses for a major Russian oil company.
- Drafting bill No.322981-7 (currently 175-FZ) in terms of the Unified Housing Construction Information System (UHCIS), participating in public hearings in the State Duma, drafting the Russian Government resolution on the UHCIS.
- Developing a set of lease documentation for a large owner of shopping centers, negotiating lease agreements.
- Developing and negotiating a power plant property leaseback agreement as part of an M&A deal.
