Legal support of a construction company’s software licensing project
Our client, a large construction company that manufactures scaffolding and formwork, planned to license its own software for calculating formwork and scaffolding. The task was to check the legality of the mechanism for obtaining rights to works made for hire and the terms of the license agreement.
CLS associates analyzed the documents (employment contracts, job descriptions, acts of transfer and acceptance of rights), identified risks and prepared proposals for their elimination, as well as developed an agreement on payment of royalties and a license agreement that meets the client’s interests.
