CLS associates conducted due diligence of the target company and its assets, including analysis and identification of risks in terms of documentation for the production and sale of drugs, developed alternative options for structuring the transaction, agreed its structure on behalf of the client and prepared a full set of documents for the transaction, including a framework agreement on transfer of know-how rights, the bank of samples for production of drugs, real estate and equipment, as well as offered a mechanism for rejecting the transaction and compensating the client's losses.

The proposed transaction documentation was approved by the parties in the course of negotiations with the participation of CLS.
