Legal support for construction of 2 parts of a toll auto expressway in St. Petersburg and Leningrad Region

The project is an essential element of the St. Petersburg transport system. The project is being implemented based on the President's instructions in accordance with the state program Development of the St. Petersburg Transport System with the involvement of federal co-financing. Construction of the new highway will provide a direct connection between the eastern districts of the city with the center and the south, and through the Western High-Speed Diameter with the northern districts, as well as unclog the federal road network and switch traffic from the Ring Road. The project is implemented in VI stages, under the terms of separate agreements. Implementation of stages II-IV, V-VI is carried out under terms of concession agreements with St. Petersburg and the Leningrad Region, respectively.

CLS associates provided comprehensive legal and organizational support for the project, including developing the basic terms of the concession agreements, preparing drafts of the concession agreement and a set of other documents included in the proposal of the initiators. In addition, CLS associates provided full legal support for the procedure of submitting proposals for entering into the concession agreement and supported the negotiations with concessionaires.

The concession agreement for stages II-IV was signed on November 20, 2024 and the concession agreement for stages V-VI was signed on December 7, 2023.

CLS associates also provided legal advice to the client on financing and applying the forms of financial participation of the concessor provided for by law in implementing the project, on issues of land, urban planning, civil law and on amendments to the concession agreement in connection with amendments to the laws on concession agreements that are taking effect. The CLS team also developed draft options agreements and a sale and purchase agreement for a share in the authorized capital of the project company.
